Public offer
Version of 24 October 2026
This document is a public offer by Finer Ukraine LLC (TOV «Finer Ukraina», the Supplier) to enter into an agreement on the terms below. It covers orders the Buyer places through finer.ua, by phone or by email. If the parties sign a separate written supply agreement, that agreement prevails, and this offer applies only to matters the agreement does not cover.
1. Definitions
Website: finer.ua in all its language versions. The Website is a catalogue. Its information helps you choose equipment but does not, by itself, confirm availability or price.
Buyer: a legal entity, a sole proprietor or an individual placing an order.
Goods: medical equipment, spare parts, consumables and other items in the Website catalogue.
Services: delivery, installation, setup, commissioning, staff training and maintenance, where the parties have agreed on them.
Quotation and invoice: the Supplier's documents stating the specific Goods, configuration, price, payment terms, lead times and Services.
2. How the agreement is made
The Buyer sends a request through a form on the Website, by phone on 0 800 334 585 or to [email protected]. A manager clarifies the task, configuration and terms and prepares a quotation or an invoice.
The agreement is concluded once the Buyer has paid the invoice (in full or in the agreed part) or confirmed the order in writing, including by email. From that moment the Buyer accepts the terms of this offer.
The Supplier may decline an order or change its contents if the manufacturer has discontinued a model, changed its configuration or price, or for other reasons outside the Supplier's control. In that case we offer an alternative, and if it doesn't suit the Buyer, we refund the amount paid.
3. Information on the Website
Descriptions, specifications and configurations of the Goods come from the manufacturer. The manufacturer may change them without notice, so the current data is fixed in the quotation and in the documents supplied with the Goods. Photos on the Website may differ from the Goods in colour, configuration or detail.
Prices on the Website, where shown, are for reference. For most items the price is available on request. The final price is set by the invoice or quotation for the period stated in it.
4. Price and payment
Prices are in hryvnias (UAH). Payment is made by bank transfer to the Supplier's current account against an invoice.
The parties agree on the payment schedule (full prepayment, instalments or project stages) before the invoice is issued. An invoice is valid for the period stated in it. If the manufacturer's price, the exchange rate or customs charges change before payment, the Supplier may update the invoice, and the Buyer may accept the new price or cancel the order.
Payment is deemed made on the day the funds reach the Supplier's account.
5. Delivery, installation and setup
The method, timing and cost of delivery, and whether installation, setup, commissioning and staff training are needed, are agreed separately for each order. The lead time depends on whether the Goods are in stock or have to be ordered from the manufacturer, and is stated in the quotation.
On receipt, the Buyer checks the quantity, completeness and condition of the packaging. Any discrepancy or damage must be recorded in the carrier's documents or in an acceptance report at the time of delivery. If this is not done, the Goods are deemed received in the correct quantity, complete and without external damage.
Before installation, the Buyer prepares the room to the manufacturer's requirements, which we provide: power supply and earthing, medical gas outlets, ventilation, door and corridor clearances, and access for engineers. If the room isn't ready on the agreed day, the work is rescheduled and an additional visit is charged separately.
The risk of accidental damage passes to the Buyer on handover. Title to the Goods passes to the Buyer once they are paid in full, unless the invoice or agreement says otherwise.
6. Quality and warranty
With the Goods, the Supplier provides the documents required by the manufacturer and by law for that type of medical device: instructions for use in Ukrainian, a warranty card or other warranty document and, where required, a declaration or certificate of conformity.
The warranty period is set by the manufacturer. It is stated in the warranty documents and runs from the date of handover, or from commissioning if the documents say so. Warranty service is carried out by the Supplier's service team or by the manufacturer's authorised service centre.
The warranty does not cover faults caused by failure to follow the instructions for use, transport or storage; unstable power supply, missing earthing or unsuitable room conditions; mechanical damage, liquid or foreign objects; repair or interference by persons not authorised by the Supplier or the manufacturer; or the use of non-original consumables and parts. Wear parts and consumables (batteries, lamps, sensors, cables, filters and the like) are not replaced under warranty unless the manufacturer gives a separate warranty for them.
Exchanges, returns and warranty claims are described on the Exchange and returns page.
7. Use of the equipment
Medical equipment must be operated by trained staff in line with the manufacturer's instructions and healthcare legislation. The Buyer is responsible for holding the licences and permits its activity requires and for operating the equipment after commissioning.
8. Liability
Each party is liable for failing to perform its obligations under Ukrainian law and this offer.
The Supplier is not liable for delays caused by the carrier, customs or the manufacturer if it informed the Buyer in good time. Nor is the Supplier liable for the consequences of using the Goods contrary to the instructions, or for indirect losses and lost profit. The Supplier's total liability for one order does not exceed the value of the Goods in that order.
The limits in this section do not reduce the rights the law gives a Buyer who is an individual consumer.
9. Force majeure
Neither party is liable for non-performance caused by force majeure, such as hostilities, government decisions, natural disasters or power grid failures. Deadlines are extended for as long as such circumstances last. They are confirmed by a document from the Ukrainian Chamber of Commerce and Industry or another confirmation provided for by law.
10. Personal data
We process the Buyer's personal data to answer requests, prepare quotations and perform the agreement and warranty obligations. Details are in our Privacy policy.
11. Other terms
The Supplier may amend this offer by publishing a new version on the Website. The new version applies to orders placed after it is published.
Disputes are settled by negotiation and, failing that, in court under Ukrainian law. If the language versions differ, the Ukrainian text prevails.
